Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Today's Technical Connect website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Description of Services

Today's Technical Connect provides IT management, planning, and infrastructure solutions, including but not limited to:

  • Managed IT Services
  • Strategic IT Planning and Consulting
  • Server Backup and Recovery Solutions
  • Virtualization Services
  • Network Infrastructure Management
  • Cybersecurity Solutions
  • Cloud Services and Migration

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

User Responsibilities

When using our Services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breaches
  • Use the Services only for lawful purposes and in accordance with these Terms
  • Not interfere with or disrupt the Services or servers
  • Not attempt to gain unauthorized access to any systems or networks
  • Comply with all applicable local, state, national, and international laws

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Today's Technical Connect, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

Service Level Agreements

For clients who engage our managed IT services, specific Service Level Agreements (SLAs) will be established in separate written agreements. These SLAs will define:

  • Response times for support requests
  • Uptime guarantees and availability metrics
  • Maintenance windows and scheduled downtime
  • Performance benchmarks and monitoring
  • Escalation procedures

In the event of any conflict between these Terms and a specific SLA, the SLA shall prevail for matters covered by the SLA.

Payment and Billing

Payment terms will be specified in individual service agreements. General terms include:

  • All fees are quoted in U.S. Dollars unless otherwise specified
  • Payment is due according to the terms specified in your service agreement
  • Late payments may incur additional fees or service suspension
  • All fees are non-refundable unless otherwise stated in writing
  • We reserve the right to change our fees with 30 days' notice

Confidentiality

We understand that in providing IT services, we may have access to confidential and proprietary information. We commit to maintaining the confidentiality of all client information and will not disclose such information to third parties except as necessary to provide the Services or as required by law. Specific confidentiality terms may be outlined in separate Non-Disclosure Agreements (NDAs).

Limitation of Liability

To the fullest extent permitted by applicable law, Today's Technical Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us for the Services in the twelve (12) months preceding the claim.

Warranties and Disclaimers

We strive to provide high-quality IT services, but the Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to defend, indemnify, and hold harmless Today's Technical Connect and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Non-payment of fees
  • Fraudulent, abusive, or illegal activity
  • At our sole discretion

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation, if negotiations fail
  3. Binding arbitration or litigation in the appropriate jurisdiction

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and Today's Technical Connect regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
